1. Introduction
These Terms and Conditions (“Terms”) govern access to and use of the Extrica Manager platform (the “Platform”), provided by Extrica (“MB Bound AI,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
2. Description of Services
Extrica Manager is a cloud-based publishing infrastructure platform designed to support scientific journals, publishers, research institutions, and editorial teams through:
Research integrity screening
Editorial workflow automation
Peer review management
Production automation (including XML and PDF generation)
Journal hosting services
Billing infrastructure
Indexing readiness support
The Platform is provided as a Software-as-a-Service (SaaS) solution under an annual or agreed subscription model.
3. Eligibility and Account Registration
To use the Platform, you must:
Be authorized to act on behalf of a journal, publisher, institution, or organization.
Provide accurate and complete registration information.
Maintain the confidentiality of account credentials.
You are responsible for all activity occurring under your account.
4. Subscription and Fees
Access to Extrica Manager is subject to subscription fees as agreed in a separate commercial agreement or order form.
Fees are billed annually unless otherwise specified.
Payment terms will be defined in the applicable service agreement.
Failure to pay fees may result in suspension or termination of access.
All fees are exclusive of taxes unless otherwise stated.
5. Acceptable Use
You agree not to:
Use the Platform for unlawful purposes.
Upload content that infringes intellectual property rights.
Attempt unauthorized access to systems or data.
Interfere with platform security, performance, or integrity.
Use the Platform to distribute malicious software.
The Company reserves the right to suspend access in cases of misuse.
6. Intellectual Property
6.1 Platform Ownership
All intellectual property rights in the Platform, including software, infrastructure, documentation, and design, remain the exclusive property of Extrica. No ownership rights are transferred under these Terms.
6.2 User Content
Users retain ownership of submitted manuscripts, editorial materials, and journal content. By using the Platform, you grant Extrica a limited license to process, store, and display such content solely for providing the Services.
7. Research Integrity Tools Disclaimer
The Platform includes AI-driven screening and integrity tools designed to support editorial decision-making. Extrica:
Does not guarantee detection of all instances of misconduct.
Does not replace editorial judgment.
Is not responsible for publication decisions made by users.
All final editorial decisions remain the responsibility of the journal or publisher.
8. Data Protection and Confidentiality
Extrica processes data in accordance with applicable data protection laws, including GDPR where applicable. We implement reasonable technical and organizational measures to safeguard data against unauthorized access, loss, or misuse. A separate Data Processing Agreement (DPA) may apply where required.
9. Service Availability
We aim to provide reliable and continuous access to the Platform. However:
We do not guarantee uninterrupted or error-free service.
Scheduled maintenance may occur.
Service interruptions may arise due to external factors beyond our control.
10. Third-Party Integrations
The Platform may integrate with third-party services (e.g., indexing databases, payment processors, plagiarism detection tools). Extrica is not responsible for:
The performance of third-party services.
Changes to third-party systems.
Indexing decisions made by external databases.
11. Limitation of Liability
To the maximum extent permitted by law:
Extrica shall not be liable for:
Indirect or consequential damages
Loss of profits or data
Reputational damage
Publication outcomes
Indexing or delisting decisions
Total liability under these Terms shall not exceed the total subscription fees paid during the preceding 12 months.
12. Indemnification
You agree to indemnify and hold harmless Extrica from claims arising from:
Content uploaded to the Platform
Violation of intellectual property rights
Breach of these Terms
Misuse of the Services
13. Termination
Either party may terminate access:
At the end of the subscription period
For material breach
For non-payment
Upon termination:
Access will be revoked
Data export options may be provided upon request within a defined period
14. Modifications to Terms
Extrica reserves the right to modify these Terms at any time. Continued use of the Platform after updates constitutes acceptance of revised Terms.
15. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Republic of Lithuania. Any disputes shall be resolved in the courts of Lithuania.
